Warehouse Facility

A warehouse facility is a revolving credit line that finances an accumulating pool of legal receivables, litigation finance advances or law firm fee receivables originated over time, ahead of a permanent capital event, typically a securitization or a longer-term financing structure, that eventually takes the pool out. The facility is structured around a borrowing base, with an advance rate applied against the collateral pool's value and eligibility criteria excluding weak or overly concentrated collateral. Because the underlying receivables have no fixed maturity and move on unpredictable procedural events, a warehouse facility's borrowing base needs continuous, model-driven re-scoring rather than the periodic, manual certificate review that suffices for conventional trade receivables warehousing, since a judge assignment or a motion ruling can shift a matter's value well before the facility's next scheduled reporting date. Warehouse facilities are a critical piece of legal-asset capital formation because they let an originator scale a receivables pool to a size that justifies a securitization or a permanent financing structure, without requiring the originator to hold that entire growing pool on its own balance sheet in the interim, and the facility's covenant package should tie remedies to the re-scoring pipeline directly rather than only to scheduled test dates.
