A deferred prosecution agreement is an arrangement in which prosecutors file charges but agree to dismiss them if the company meets conditions over a set period, such as paying a penalty and improving compliance. It resolves a criminal matter without a conviction.
The company typically admits a statement of facts, pays, cooperates and accepts oversight. If it complies, the charges are dropped. If it breaches, prosecution can resume.
For counterparties, the agreement is a major event: it quantifies exposure, imposes obligations and signals how the authorities viewed the conduct. It also often precedes private litigation by those harmed.
A deferred prosecution agreement is not an acquittal and not a non-prosecution agreement. Charges are filed and held in abeyance.
